These Terms of Service ("Terms") govern your use of the Ripped Restock mobile app (the "App"), published by Bo Jackson Battle Arena, Inc. ("the Company", "BOBA", "we", "us", or "our"). The App is a business-to-business workflow tool for staff and owners of the Company's partner retail shops to record and submit short videos and photos of in-store product restocks to our internal review team.
These Terms apply specifically to the App. They are separate from any terms that apply to bobattlearena.com or our other products.
1. Acceptance
By downloading, installing, signing in to, or using the App, you agree to these Terms. If you do not agree, do not use the App.
If you obtained the App from the Apple App Store, your use of it is also subject to Apple's Standard End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. If you obtained the App from the Google Play Store, your use of it is also subject to the Google Play Terms of Service, available at https://play.google.com/about/play-terms/. These Terms are in addition to those store terms. Where these Terms are stricter, these Terms apply; where the applicable store's terms are stricter, those terms apply.
2. Eligibility
- You must be at least 12 years old to use the App. Users aged 13 to 17 may only use it with the consent of a parent or legal guardian where required by applicable law.
- If you are using the App on behalf of a partner retail shop, you represent that you are either an owner of that shop or an employee authorized by the shop to submit restock records on its behalf.
3. Accounts
- Provide accurate information when you create your account and keep it up to date.
- You are responsible for activity that happens under your account, and for keeping your credentials confidential.
- One account per person. Do not share your login with anyone else.
- Tell us right away at support@ripped-restock.com if you suspect your account has been compromised.
4. Acceptable use
When you use the App, you agree that:
- Every submission reflects a genuine restock activity that actually happened at an authorized partner shop.
- You either shot the footage yourself or have the permission of everyone who appears in it and of the shop where it was recorded.
- You will not submit content that is illegal, harassing, hateful, sexually explicit, or that impersonates another person or business.
- You will not upload malware, attempt to break the App's security, or reverse-engineer it except where applicable law forbids that restriction.
- You will not use the App to scrape, resell, or repurpose our data or anyone else's submissions.
We may refuse, remove, or roll back any submission or account that violates these rules.
5. Your submissions
You keep ownership of the photos, videos, and audio you submit through the App ("Submissions"). You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your Submissions strictly for the purpose of:
- Operating the App and the restock review workflow;
- Showing your Submissions to you, to the owner of your partner shop, and to our internal review staff;
- Analyzing, maintaining, and improving the App and the review workflow.
We do not publish Submissions on any public feed, website, or social channel. We do not sublicense your Submissions to third parties for their own use. This license ends when your Submission or account is deleted, except that we may keep copies as needed for the limited retention purposes described in Section 9 and in our Privacy Policy.
You are responsible for your Submissions. You represent that you have the rights needed to submit them and grant the license above.
6. Moderation and removal
Every Submission is reviewed by staff of the Company. We may approve, deny, request changes to, or remove any Submission at our discretion. Approval is not guaranteed, and you do not have a right to have any particular Submission accepted or kept. We are not a publisher and the App is not a public forum.
7. Account deletion
You can request account deletion directly inside the App. Deletion requests are reviewed by an administrator at the Company. You can cancel a pending request from within the App at any time before an admin approves it. Once an admin approves the request, deletion is permanent: your account and your Submissions are removed, except for any records we must keep to meet legal, tax, or audit obligations (see Section 9).
8. Intellectual property
The App, the Ripped Restock name and logo, the Bo Jackson Battle Arena and BOBA names and logos, and the underlying software, design, and content (other than Submissions) are owned by the Company or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our brands without our prior written permission. You keep ownership of your Submissions, subject to the license in Section 5.
9. Termination and retention after termination
You may stop using the App at any time and request account deletion from within the App. We may suspend or terminate your account if you violate these Terms, if your partner shop's relationship with the Company ends, or if we are required to by law.
After termination, we may retain your Submissions and related records for up to 90 days for legal, audit, and dispute-resolution purposes, after which they are deleted, except where a longer period is required by law. Sections that by their nature should survive termination (including Sections 5, 8, 10, 11, 12, and 13) will survive.
10. Disclaimers
The App is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free, secure, or fit for any particular purpose. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the App, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims related to the App, in any 12-month period, is capped at the total amount you have paid to us for use of the App during that 12-month period. The App has no user fees, so this amount will normally be zero.
Some jurisdictions do not allow these limits; where that is true, they apply to the maximum extent permitted.
12. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) your Submissions, (b) your use of the App, or (c) your violation of these Terms or of any law or third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of [GOVERNING-LAW JURISDICTION PLACEHOLDER], without regard to conflict-of-laws rules.
Informal resolution first. Before filing any formal action, please email us at support@ripped-restock.com describing the dispute and the resolution you are seeking. We will try in good faith to resolve it informally within 30 days.
Formal resolution. If we cannot resolve the dispute informally, either of us may bring the dispute in the state or federal courts located in [GOVERNING-LAW JURISDICTION PLACEHOLDER], or pursue a qualifying claim in small claims court. Both parties consent to the personal jurisdiction of those courts.
14. Changes to these Terms
If we change these Terms, we will update the "Last updated" date at the top of the page. If the change is material, we will also notify you inside the App before it takes effect. Your continued use of the App after a change takes effect means you accept the updated Terms.
